Legal
Terms
These terms apply to this website and to the Proceeds Ledger tool. By using them or buying a license, you agree to these terms.
1. Who we are
Proceeds Ledger is made by Hlib Serediuk, sole proprietor (Ukraine) ("we", "us"). You can reach us at proceedsledger@noemacreate.org.
2. The license
The founding license gives you a non-exclusive, non-transferable right to use Proceeds Ledger with your own files, for one organization (one App Store Connect account and one ledger), for 12 months from the date of purchase. Updates released during those 12 months are included.
- The license key unlocks the Xero and QuickBooks Online journal downloads for your own files. The demo on sample data, the checks on your own files and the reconciliation CSV are free for everyone.
- You may not transfer, resell, sublicense or share the license or the license key.
- The license does not renew automatically. When the 12 months end, the key stops unlocking journal downloads for your own files, and nothing renews unless you buy again. Files you already exported remain yours.
3. Acceptable use
You agree not to:
- use the tool or the website for anything unlawful;
- copy, resell or redistribute the tool, or offer it to others as your own;
- try to get around the license check, or share your key so that others can do so;
- interfere with the website or with the services it relies on.
Use the tool only with data you are entitled to use.
4. Your files and your responsibility
Your Apple files are processed in your browser and are not sent to us (see Privacy). You keep all rights to your files and to the exports you create.
Proceeds Ledger is a calculation and export tool. It is not accounting or tax advice. You are responsible for reviewing every reconciliation and every journal entry before you import or post it, and for checking that the tool's checks pass for your data. Ask your accountant if you are unsure. Apple may change its file formats, and results can be incomplete or wrong if the files are not in the expected format.
5. No warranty
The tool and the website are provided "as is" and "as available", without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, or that the tool will be error-free or uninterrupted. This applies to the extent the law allows.
6. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost data, tax penalties or errors in your books. Our total liability for any claim relating to the tool or the website is limited to the amount you paid for the license. Nothing in these terms limits liability that cannot be limited by law.
7. Purchases and Gumroad
The license is sold through Gumroad, which acts as reseller and merchant of record. Gumroad takes the payment and handles sales tax, and issues refunds to the original payment method. Gumroad's own terms apply to the purchase. Our refund policy gives you a full refund within 30 days of purchase.
8. Trademarks
Apple and App Store are trademarks of Apple Inc., registered in the U.S. and other countries. Xero and QuickBooks are trademarks of their respective owners. Proceeds Ledger is not affiliated with or endorsed by Apple, Xero or Intuit.
9. Changes to these terms
We may change these terms. The date at the top of this page shows when they were last updated. If you do not agree with a change, you can stop using the tool, and a refund within 30 days of purchase is always available.
10. Governing law
These terms are governed by the laws of Ukraine, without prejudice to any mandatory consumer protections of your country of residence.
